WHEREAS there exist vacancies on the Boards of Directors of City of Peterborough Holdings Inc. (CoPHI) and of its subsidiaries requiring appointments. NOW THEREFORE be it resolved: 1. That the following individuals be appointed as Directors to the Boards of CoPHI and of its subsidiaries: a) Mark Rodger, Chair b) Daniel J. Gormley; and c) Paul Kwasnik; and 2. That the Mayor and Clerk be authorized to execute amendments to the CoPHI Shareholder Direction and Unanimous Shareholder Declaration as amended to July 30, 2012 on terms considered advisable by the Mayor in consultation with the City’s Chief Administrative Officer and in forms acceptable to the City Solicitor to ensure interim compositions of the Boards of Directors of CoPHI and of its subsidiaries that are composed of members with the requisite industry, financial and legal expertise.
